1. User obligations and conduct

1.1 Conduct requirements

You agree to use this website and Tallmark's services in good faith, in accordance with all applicable laws, and in a manner consistent with the purpose for which the services are offered. Behaviour that is abusive, threatening, or materially disruptive to the service relationship is grounds for termination.

1.2 Prohibited activities

The following are expressly prohibited: attempting to reverse-engineer, scrape, or systematically extract content from this website; submitting false or misleading information in contact forms or service engagements; using the site or services to facilitate any unlawful activity; impersonating another person or entity; and interfering with the availability of the site or connected systems.

1.3 Content guidelines

Any information you submit to Tallmark — including through contact forms, shared documents, or service onboarding — must be accurate, complete, and not in violation of third-party rights. You retain ownership of the content you provide and grant Tallmark a limited license to use it solely for the purposes of service delivery.

1.4 Age and authority

By using this website or engaging services, you confirm that you are at least 18 years of age and, where applicable, that you have the authority to bind the business entity on whose behalf you are acting.

2. User responsibilities

2.1 Legal compliance. You are solely responsible for ensuring that your use of Tallmark's services complies with all laws, regulations, and professional standards applicable to your business, including tax obligations, employment law, and industry-specific regulations. Tallmark's services do not constitute legal or tax advice.

2.2 Indemnification. You agree to indemnify and hold harmless Tallmark from any claims, losses, or liabilities arising from your breach of these terms, your misuse of the services, or any inaccurate information you have provided in connection with a service engagement.

2.3 Data accuracy. You are responsible for the accuracy of financial records, documents, and other information provided to Tallmark. Errors or omissions in your input data are not the liability of Tallmark and may affect the quality or accuracy of deliverables.

2.4 Third-party interactions. Any transactions you conduct with third parties as a result of, or in connection with, Tallmark's services are entirely your responsibility. Tallmark does not endorse or accept liability for third-party platforms, services, or advice you may encounter.

3. Liability and warranties

3.1 Disclaimer of warranties. This website and its content are provided on an "as is" basis. Tallmark makes no warranties, express or implied, regarding the accuracy, completeness, or fitness for a particular purpose of any content, service description, or general information published on this site.

3.2 Limitation of liability. To the fullest extent permitted by applicable law, Tallmark shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of this website or the services provided, including but not limited to loss of data, revenue, or business opportunity.

3.3 Consequential damages. In no event shall Tallmark's total liability to you exceed the amount paid for the specific service giving rise to the claim, calculated over the preceding three-month period.

3.4 Force majeure. Tallmark shall not be liable for any failure or delay in the performance of its obligations where such failure or delay results from causes beyond its reasonable control, including but not limited to natural disasters, infrastructure outages, government actions, or pandemic-related restrictions.

4. Legal information and dispute resolution

4.1 Governing law. These terms are governed by and interpreted in accordance with applicable international commercial standards, and where relevant, the laws of the jurisdiction in which the relevant service agreement is executed. Any specific jurisdictional terms will be outlined in the service agreement itself.

4.2 Dispute resolution. In the event of a dispute arising from these terms or any service engagement, the parties agree to first attempt resolution through good-faith discussion. Where that fails, the parties may pursue mediation before resorting to formal legal proceedings.

4.3 Severability. If any provision of these terms is found to be unenforceable under applicable law, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.

4.4 Modification of terms. Tallmark reserves the right to update these Terms and Conditions at any time. Material changes will be noted with an updated date at the top of this page. Continued use of the site after such changes constitutes acceptance of the revised terms.
